JobTerms of Service
Provider: JobShutter LLC (Ohio) / Jordan Peplinski d/b/a JobShutter (“JobShutter,” “we”). Customer: the business entity or person that creates or is invited to a JobShutter workspace (“you”).
By accessing JobShutter you agree to these Terms and the Privacy Policy. If you accept for a company, you represent you have authority to bind that company.
1. The service
JobShutter provides software for field photo capture, job organization, sharing, mapping, and related contractor workflows (the “Service”). Features may vary by plan, industry pack, or pilot status.
2. Accounts
- You must provide accurate registration information.
- You are responsible for activity under your logins.
- Company admins manage seats and may remove users.
- We may refuse, suspend, or terminate accounts for abuse, security risk, or legal reasons.
3. Customer Data and licenses
- You own Customer Data you upload.
- You grant JobShutter a limited license to host, process, display, and back up Customer Data solely to provide the Service and as described in the Privacy Policy.
- You represent you have the rights to upload the content for business use.
- JobShutter owns the Service software, branding, and platform IP. No reverse engineering, scraping, bulk extraction of non-Customer data, or competitive analysis via automated means.
4. Acceptable use
You will not: break the law; upload malware or attempt unauthorized access; interfere with multi-tenant isolation or other customers’ data; resell the Service without a written partner agreement; or use the Service to build a competing product using non-public JobShutter information.
5. Pilots and free access
Design-partner or free pilot access is provided “AS IS,” may be limited or withdrawn, and does not guarantee a future price or feature set. Separate pilot agreements (if any) supplement these Terms.
6. Fees (reserved — not required for free pilots)
When paid plans are offered, fees will be stated at checkout or in an order form; payments may be processed by third parties (e.g., Stripe); taxes may apply; failure to pay may result in suspension. Free pilots do not require a payment method.
7. Third-party services
Maps, satellite imagery, geocoding, email delivery, and similar features may rely on third-party APIs. Optional integrations are used at your direction.
8. Confidentiality
If you execute a Mutual NDA with us, it controls confidential exchanges. Otherwise, each party will protect non-public business information received from the other with reasonable care.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Measurement, map, and AI-assisted features are tools only—not professional surveying, engineering, or legal advice.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOBSHUTTER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOST PROFITS DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR $100 IF YOU PAID NOTHING).
11. Indemnity
You will defend and indemnify JobShutter against claims arising from your Customer Data, your misuse of the Service, or your violation of these Terms, except to the extent caused by our willful misconduct.
12. Termination
You may stop using the Service at any time. We may suspend or terminate for breach or risk. Upon termination we may delete Customer Data after a reasonable export window, subject to legal holds and backups.
13. Changes
We may update these Terms by posting a new version. Material changes for paid customers will be notified by email or in-product notice where practical.
14. Governing law
Ohio law. Exclusive venue in state or federal courts located in Franklin County, Ohio, unless otherwise required by law.
